Terms of Use

These Terms of Use set forth the terms and conditions governing the use of "KARATE ONLINE SUI" (the "Service"), an online karate dojo service provided by SUI Inc. (the "Company").

By using the Service, Users are deemed to have agreed to these Terms.

These Terms are intended to establish appropriate rules and clearly define the scope of responsibilities so that all Users may use the Service safely and fairly.

The Japanese version of these Terms shall be the governing version. Any translation is provided for reference purposes only. In the event of any inconsistency between the Japanese version and a translated version, the Japanese version shall prevail.

Article 1 (Definitions)

For the purposes of these Terms, the following terms shall have the meanings set forth below.

"Company"

Means SUI Inc.

"Service"

Means the online karate dojo service "KARATE ONLINE SUI," including all related features and Content provided by the Company.

"User"

Means any individual who uses the Service.

"Free Member"

Means a person registered under the free plan who may access Content for the 10th Kyu level.

"Paid Member"

Means a person subscribed to a paid plan who may access Content for the 9th Kyu level and above, bonus videos, and other paid-member benefits.

"Live Online Training"

Means real-time training conducted online by an instructor.

"Daily Video Training"

Means a feature that enables Users to practise independently by referring to instructional videos presented by instructors.

"Online Demonstration Event"

Means an online event in which Users submit videos that are subject to: (1) preliminary assessment through "likes" and similar reactions from other Users; and (2) final assessment by instructors and the Company, on the basis of which rankings, awards, and other results are determined.

"Content"

Means all information provided by the Company, including videos, images, documents, teaching materials, explanatory text, audio, videos submitted to Online Demonstration Events, and any other materials.

"Account"

Means the ID, password, and registration information required to log in to the Service.

Article 2 (Scope of Application)

These Terms apply to all Users of the Service.

If any provision of these Terms conflicts with any guidelines, policies, or other rules separately established by the Company, the applicable guidelines, policies, or rules shall prevail.

If a User is a minor, the User shall be deemed to have obtained the consent of their parent or legal guardian to these Terms.

Article 3 (Service Content)

The Company provides the following through the Service:

1. Structured Okinawan Karate Learning Program — Learning content covering techniques, kata, history, training structure, and related subjects.
2. Live Online Training — Features for booking and attending real-time online training conducted by instructors.
3. Daily Video Training — A feature that allows Users to practise independently by referring to instructional videos presented by instructors. Paid Members may use the self-recording feature.
4. Online Demonstration Events — Events in which Users submit videos that are assessed preliminarily through "likes" and similar reactions from other Users and finally by instructors and the Company, with rankings or awards determined based on the results.
5. Administration of Kyu and Dan Grading Examinations — Including the submission of examination videos, assessment by instructors, management of grading progress, and issuance of official certificates.
6. Videos and Explanatory Text — Teaching materials in multiple formats, including training videos, technical explanations, and explanations of kata.
7. Community Features — Opportunities for interaction among Users and with instructors through chat, bulletin boards, social media integration, and similar features. The timing of introduction of such features shall depend on the specifications of the Service.

Article 4 (Account Registration and Age Restrictions)

Users must register an Account using the method prescribed by the Company before using the Service.

Only individuals aged 18 or older may register an Account in their own name.

A User under the age of 18 may use the Service only if all of the following conditions are met:

1. the User's parent or legal guardian is a Member of the Service;
2. the parent or legal guardian agrees to these Terms; and
3. the parent or legal guardian accepts responsibility for the minor User's conduct and use of the Service.

Users shall manage their Account information, including their ID and password, at their own responsibility.

The Company shall not be liable for any loss or damage resulting from unauthorized use, theft, or use of an Account by a third party.

Users must promptly notify the Company of any change to their registration information.

Article 5 (Health and Safety Precautions)

Because the Service includes karate training involving physical exercise, Users must pay careful attention to their health and use the Service safely.

Users with heart conditions, musculoskeletal disorders, other pre-existing medical conditions, or chronic illnesses are strongly advised to consult a physician before using the Service.

Except in cases of wilful misconduct or gross negligence by the Company, the Company shall not be liable for any injury or deterioration in health occurring during, before, or after use of the Service.

Users must perform appropriate warm-up and cool-down exercises to help ensure their safety.

Article 6 (Payment, Formation of Contract, and Refunds)

To subscribe to a paid plan, Users must pay the applicable subscription fee using a payment method designated by the Company.

The contract shall take effect when the User completes payment of the applicable fee.

As a general rule, the term of a paid plan shall be 30 days from the date on which the contract takes effect. However, if the User completes a membership cancellation or pause procedure, Paid Member status shall cease immediately upon completion of that procedure.

Unless the User completes a membership cancellation or pause procedure by the end of the applicable subscription period, the contract shall automatically renew under the same terms.

If a User cancels or pauses their membership during a subscription period, no prorated refund of the subscription fee shall be provided.

However, where a refund is required under mandatory laws applicable in the User's country of residence, including consumer protection laws, those laws shall prevail.

After passing a Kyu or Dan grading examination, the User must separately pay the examination fee prescribed by the Company using a payment method designated by the Company.

Any payment processing fees shall be borne by the User.

Unless expressly stated otherwise, all times applicable to the Service shall be based on Japan Standard Time (JST).

Article 7 (Live Online Training: Bookings, Payments, Cancellations, and Changes)

The following conditions apply to Live Online Training.

7.1 Bookings and Payments

Users may book Live Online Training through the booking feature within the Service.

Each session has a maximum number of participants. Bookings are accepted on a first-come, first-served basis and close once capacity has been reached.

To attend Live Online Training, Users must separately pay the training fee prescribed by the Company using a payment method designated by the Company.

All booking deadlines, session start times, cancellation deadlines, and other relevant times are based on Japan Standard Time (JST).

If a User is repeatedly late or fails to attend without notice, the Company may restrict the User's ability to make future bookings.

7.2 Cancellation Policy (Important)

If a User cancels a booked Live Online Training session, the following cancellation fees shall apply according to the time of cancellation:

Any refund following cancellation shall equal the amount paid less the applicable cancellation fee stated above.

After cancellation, the User may not rebook the same session until the refund process has been completed.

If a Paid Member cancels their membership during the subscription period without cancelling the booked session by the subscription expiry date, no refund shall be provided.

If a Free Member cancels their membership without cancelling the booked session by the membership cancellation date, no refund shall be provided.

7.3 Changes or Cancellations by the Company

A session may be cancelled due to an instructor's illness, equipment failure, communication problems, natural disasters, or other events beyond reasonable control.

If a session is cancelled for reasons attributable to the Company, the User shall receive a full refund.

A full refund shall also be provided if the session cannot be delivered due to a natural disaster, power outage, communication failure, or other event beyond reasonable control.

Article 8 (Daily Video Training)

Daily Video Training is a feature that allows Users to practise independently by referring to instructional videos provided by instructors.

Paid Members may use the self-recording feature.

Self-recorded videos filmed and uploaded by Users shall be used only for the following purposes:

1. maintaining the User's own learning record;
2. submission to an instructor for Kyu or Dan grading examinations or for another purpose requested by the User; and
3. entry into an Online Demonstration Event or similar event, where selected by the User.

The Company shall not publish a self-recorded video outside the Service unless the User has expressly consented.

Self-recorded videos shall be deleted or anonymized after the retention period prescribed by the Company.

Users must not upload inappropriate videos, including videos that infringe copyright, violate public order or morality, or infringe the rights of others.

Article 9 (Online Demonstration Events)

An Online Demonstration Event is an online event in which Users submit videos and rankings or awards are determined based on:

1. preliminary assessment through "likes" and similar reactions from other Users; and
2. final assessment by instructors and the Company.

Videos submitted to an Online Demonstration Event shall be made available to other Users within the Service for the duration of the event.

Before using any submitted video on external social media, in advertisements, or for any other external purpose, the Company shall obtain the User's separate and express consent. No such video shall be used externally without permission.

Users must not submit inappropriate videos, including videos that infringe copyright, expose personal information, or violate public order or morality.

Award results may be displayed within the Service.

To ensure the safe operation of Online Demonstration Events, the Company may remove non-compliant submissions and take appropriate action against Users where necessary.

Article 10 (Prohibited Conduct)

Users must not engage in any of the following conduct when using the Service.

10.1 Nuisance and Fraudulent Conduct

• Defamation, discrimination, or harassment directed at the Company, other Users, or instructors
• Nuisance behaviour, threats, or violent language
• Impersonation of another person
• Unauthorized access, hacking, or unauthorized use of an Account

10.2 Prohibited Conduct Relating to Content

• Unauthorized use, reproduction, or distribution of videos, teaching materials, explanatory text, images, or other Content from the Service
• Unauthorized video recording, audio recording, screenshot capture, saving, or publication of Live Online Training
• Saving, reproducing, posting on social media, forwarding, or otherwise distributing Online Demonstration Event videos without permission
• Unauthorized use of personal data, including self-recorded videos belonging to other Users

10.3 Violations of Law or Public Order and Morality

• Conduct that violates applicable laws or regulations
• Conduct contrary to public order or morality
• Involvement with, or provision of benefits to, organized crime groups or other antisocial forces

10.4 Interference with Operation of the Service

• Conduct that interferes with provision of the Service, including system attacks and spam
• Any other conduct that the Company considers inappropriate

The Company may suspend or delete the Account of a User who violates the foregoing prohibitions, restrict the User's access to the Service, or take legal action.

Article 11 (Intellectual Property Rights)

All copyrights, trademarks, and other intellectual property rights in videos, teaching materials, explanatory text, images, audio, documents, recordings of Live Online Training, Online Demonstration Event videos, and other Content provided through the Service belong to the Company or the relevant lawful rights holder.

Without the Company's prior written permission, Users must not reproduce, modify, publish, transmit, distribute, transfer, lend, adapt, repost, or otherwise exploit the Content.

Users may not use Content provided through the Service beyond the scope of personal use.

If a User violates this Article, the Company may take legal action, including seeking compensation for damages.

Article 12 (Suspension of Use and Termination of Registration)

If the Company determines that a User falls under any of the following circumstances, it may, without prior notice, suspend the User's use of the Service, temporarily suspend the Account, or terminate the User's registration and membership:

1. the User violates these Terms;
2. the User provides false registration information;
3. the User engages in unauthorized access, unauthorized use, or similar conduct;
4. the User engages in nuisance behaviour, defamation, violent conduct, or discriminatory language or conduct;
5. the User commits a serious violation, including unauthorized recording, reproduction, or distribution of Live Online Training;
6. the User saves, publishes on social media, or forwards an Online Demonstration Event video or another User's self-recorded video without permission;
7. the Company determines that the User is associated with, or may be associated with, an organized crime group or other antisocial force; or
8. the Company otherwise determines that continued use of the Service by the User is inappropriate.

If an Account is suspended or terminated under the preceding paragraph, the User may submit an objection to the Company.

The Company shall not be liable for any disadvantage, loss, or damage incurred by a User as a result of suspension or termination under this Article.

If action is taken under this Article, fees for unused portions of the Service shall not be refunded. In particular, no refund shall be available where the suspension results from a serious violation.

Article 13 (End of Contract, Membership Cancellation, and Membership Pause)

13.1 Membership Cancellation

Users may cancel their membership at any time through the Profile section of the Service.

Unless a Paid Member completes a membership cancellation or pause procedure by the end of the applicable subscription period, the contract shall automatically renew under the same terms.

When a Paid Member completes the membership cancellation procedure, Paid Member status shall cease immediately upon completion.

If a User cancels during a subscription period, no prorated refund of the subscription fee shall be provided.

However, where a refund is required under mandatory laws applicable in the User's country of residence, including consumer protection laws, those laws shall prevail.

After cancellation, the Company may retain the User's Account information for a certain period for legal compliance and fraud-prevention purposes.

Users who request immediate deletion of their Account information should contact the Company.

If a User wishes to register again with the same email address after cancellation, the User may need to contact the Company due to the specifications of the system.

13.2 Membership Pause

Paid Members may pause their membership using the method prescribed by the Company.

Upon completion of the membership-pause procedure: (1) Paid Member status shall cease; and (2) the membership shall automatically change to a Free Membership.

From the date on which the pause procedure is completed, the Company shall automatically stop recurring charges through its payment service provider, including Stripe or another provider designated by the Company.

Unlike membership cancellation, pausing a membership does not delete or terminate the Account.

When the User completes the membership-reactivation procedure: (1) the User shall return to their previous Paid Member status; and (2) recurring charges through the payment service provider, including Stripe or another provider designated by the Company, shall automatically resume.

Paid Member status shall cease immediately upon completion of the pause procedure, regardless of the time remaining in the applicable subscription period. No prorated refund shall be provided.

All times relating to membership pauses and reactivations shall be based on Japan Standard Time (JST).

Paid-member features and benefits are unavailable while a membership is paused.

Article 14 (Handling of Personal Information)

The Company shall handle Users' personal information appropriately in accordance with its separately established Privacy Policy.

By using the Service, Users shall be deemed to have agreed to the Privacy Policy.

The Company shall comply with the EU General Data Protection Regulation (GDPR) and any other applicable foreign laws and regulations.

Personal information may be transferred to and stored in Japan or in a country or region where a service provider engaged by the Company is located.

Users consent to such transfers and storage.

Users have the right to request disclosure, correction, deletion, suspension of use, and other measures concerning their personal information.

Article 15 (Disclaimer)

Except in cases of wilful misconduct or gross negligence by the Company, the Company shall not be liable for:

1. a User's health condition, injury, accident, or deterioration in health;
2. problems caused by a User's device or communication environment;
3. internet connection failures, server downtime, or application defects;
4. natural disasters, power outages, war, civil unrest, communication failures, or other events beyond reasonable control; or
5. damage arising from a User's negligence or violation of these Terms.

The Company does not guarantee the completeness, accuracy, or effectiveness of the Content.

The Company shall not be liable for disputes between Users.

Article 16 (External Services and Content)

Users may be redirected to an external website in connection with merchandise, teaching materials, events, tours, or other products and services offered through the Service.

Purchases, cancellations, returns, and other conditions relating to services or products on an external website shall be governed by the terms of that website.

The Company does not guarantee the accuracy or safety of external links or external Content made available through the Service.

Article 17 (Governing Law and Jurisdiction)

These Terms shall be governed by and interpreted in accordance with the laws of Japan.

Any dispute arising between the Company and a User in connection with the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's principal office as the court of first instance.

Article 18 (Amendments to These Terms)

The Company may amend these Terms when it considers such amendment necessary.

When amending these Terms, the Company shall notify Users by displaying the amended Terms within the Service or by another method the Company considers appropriate.

The amended Terms shall take effect when a User uses the Service after such notification.

Article 19 (Language)

The Japanese version of these Terms shall be the governing version. In the event of any discrepancy between the Japanese version and a translated version, the Japanese version shall prevail.
